Terms and Conditions

This agreement describes the terms and conditions under which "Wortise" (Bee Holding SAS is a company established in Uruguay with company number (RUT) 21.833.415.001 and its registered office on the 4th floor of Misiones 1537, Montevideo, Uruguay) provides you ("Publisher") with the monetization and advertising services that form part of the Wortise - Publisher Dashboard product.

Wortise reserves the right to modify the Terms and Conditions (T&C) at any time without prior notice. You should print a copy of this agreement for future reference. Please read these terms and conditions carefully before subscribing to the Service through our "Site". By subscribing to our Services and using our Site, you accept the terms and conditions contained in this agreement.

For valuable consideration, the parties agree as follows:

Service Description and License Grant

1.0 Minimum Age. You must be a natural person at least 18 years of age to use the Site and register for the Services. By using the Services, you represent and warrant that you are at least 18 years of age.

The Wortise platform benefits the Publisher (app publishers/owners/developers/providers) by offering the Publisher the opportunity to integrate the Wortise Software Development Kit ("SDK"). The Wortise SDK will enable Wortise to provide targeted ads on behalf of advertisers to end users of the Publisher’s app(s) (the "Monetization Service").

Subject to these T&C and during the term of this Agreement, Wortise:

1.2.1. grants the Publisher a revocable, limited, personal, worldwide, non-exclusive and non-transferable right to:

  • use, copy and distribute the Wortise SDK solely for the monetization and distribution of its own Apps;
  • use the relevant and necessary SDK components and adapters solely to incorporate the SDK into the Publisher’s Apps; and
  • enable the Publisher’s access to the Wortise platform.

To provide the Service, you authorize Wortise to deliver ads to end users’ mobile devices through your App.

1.4. Participation in the Wortise Service is subject to Wortise’s prior approval and the Publisher’s ongoing compliance with the T&C. Wortise reserves the right to refuse participation or block access to any applicant or participant at any time.

1.5. Feedback. All feedback or materials submitted by the Publisher to Wortise regarding the SDK, Platform or Service will be received and treated by Wortise as non-confidential and unrestricted.

1.6. Updates. If Wortise makes modifications to the SDK available, those modifications will become part of the SDK and will be subject to this Agreement.

2. Implementation and Support

2.1. For the Monetization Service, the Publisher agrees to implement the Wortise SDK in accordance with the technical specifications provided by Wortise.

3. Ownership

The Publisher retains all rights, title and interest in and to the Publisher’s Apps. Wortise reserves all rights, title and interest in and to the Wortise platform, services, SDK and related materials.

3.3. Device Data. All End User Data collected by Wortise through its SDK will remain the property of Wortise, in accordance with applicable privacy regulations.

4. Publisher Responsibilities and Warranties

4.1. The Publisher represents and warrants that all information provided to Wortise is accurate, the Publisher has the necessary rights and authority, complies with applicable laws, and the Apps do not display prohibited or illegal content.

5. Prohibited Actions

5.1. The Publisher shall not:

  • Reproduce, lease, transfer or commercially exploit the Wortise Service
  • Distribute any source code provided as part of the SDK
  • Modify, alter or create derivative works of the SDK
  • Reverse engineer or disassemble the SDK
  • Remove proprietary rights or notices
  • Use the SDK for purposes other than those intended

5.2. The Publisher agrees not to create illegal, defamatory, threatening or objectionable content in connection with Wortise.

6. Payments and Billing

6.1. Wortise will pay the Publisher amounts calculated based on the provision of the Monetization Service. All payments are based on amounts validated through Wortise’s algorithm.

6.2. Payment terms. Wortise will pay the amounts within 45 days after the end of the monetization month, provided that net revenue exceeds USD 100.

6.3. Bank charges. Wortise cannot be responsible for any bank charges incurred by the Publisher.

6.4. Currencies. All earnings are calculated in USD by default. Publishers may select their preferred payment currency.

6.5. Wortise will not be required to pay for fraudulent impressions, clicks or actions. Wortise may deduct amounts and withhold payments if fraud is detected.

7. Subscriptions, AI Credits and Advertising Balance

7.1 Subscriptions

AdsGPT offers subscription plans that provide access to digital features within the app. Before purchase, AdsGPT will display the plan, included benefits, billing period, price, usage limits and any available free trial. Subscriptions renew automatically unless canceled through the account or platform used for the purchase. Mobile purchases are processed through Apple App Store In-App Purchase or Google Play Billing. Web purchases are processed through the payment method available in AdsGPT.

7.2 AI Credits

AdsGPT distinguishes between credits included with a subscription and credits purchased through separate packs. Credits included with a subscription are granted during each billing period, may be used during that period and expire at its end, unless the applicable plan expressly states otherwise. Credits purchased through separate packs do not expire and remain available even if the subscription is canceled or expires. AI Credits may only be used within AdsGPT for the actions described before execution. They are not money, cannot be transferred, sold or exchanged for cash, and cannot be used to purchase advertising inventory.

7.3 Advertising Balance

The advertising balance is separate from subscriptions and AI Credits. It is used exclusively to fund advertising campaigns and advertising inventory and cannot be converted into AI Credits or used to unlock features.

7.4 Trials, Cancellations and Refunds

The terms and post-trial price of any free trial will be displayed before activation. Canceling a subscription stops future renewals. Access continues until the end of the current trial or paid billing period, and cancellation does not automatically provide a refund. Refunds are managed by Apple, Google or AdsGPT, depending on the purchase channel, subject to applicable law. Approved refunds or reversals may revoke access and associated credits.

8. Termination

Either party may terminate these T&C immediately for breach or at any time with 30 days’ written notice.

9. Confidentiality

9.1. Each party agrees not to disclose Confidential Information without prior written consent and to exercise reasonable care to prevent unauthorized use and disclosure.

10. Account Identifiers

10.1. Publishers are responsible for maintaining the confidentiality of their account credentials and all activity on their account.

11. Disclaimer

11.1. Wortise does not warrant that the SDK, Service or Platform will be error-free or uninterrupted. Wortise reserves the right to modify or discontinue the services at any time.

12. Limitation of Liability

To the fullest extent permitted by law, Wortise will not be liable for any indirect, incidental, special, consequential or punitive damages.

13. Indemnification

The Publisher agrees to indemnify and hold Wortise harmless from any claims arising from the Publisher’s use of the Services or breach of these Terms.

14. Governing Law

These Terms will be governed by the laws of Uruguay, without regard to conflict of laws provisions.
